Katz, who has served as LeapFrog's CEO and president since 2006 and as a board member since 2005, will continue as CEO and president of the company.

Also resigning from the board is Ralph Smith, who has served on the board since 2005. Replacing the two resigning board members are Philip Simon and Paul Marinelli. Simon is president of Lawrence Investments and has 16 years experience as a partner at Howson & Simon.

Marinelli, meanwhile, is vice president of Lawrence Investments and was previously group director of corporate development at Cadence Design Systems.

Katz commented: "Steve oversaw the rapid growth of LeapFrog from its start up days, through its IPO; he directed the strengthening of its Board and management team, and most recently the revitalization of the company's product portfolio.

"We would like to thank Steve for his long-term contributions and never-ending passion for the company and Ralph for his dedicated service on our board of directors. We also welcome Philip and Paul to the board and look forward to working with them."

"I love the company, but ten years just seemed like a good time for a transition," added Fink.
